The pact could eventually lead to a merger, the Danish company's chief executive told Reuters.
"If you compare the two companies, it is obvious to merge them," said Bavarian Nordic CFO Bo Sandroos.
"But merging a Danish and an American company is nothing you do from one day to the next, so let's take it easy."
At 1321 GMT, the Bavarian Nordic share soared over 11 percent to a three-week high of 118 crowns on the news.
The HIV vaccine deal calls for a combination of Epimmune's technology and expertise in T-cell epitope (protein fragment) identification and vaccine design with Bavarian Nordic's vaccine delivery technology, the companies said in a statement.
Bavarian Nordic has recently been in the news for its smallpox vaccine, which several western countries have shown interest in since the recent wave of anthrax scares in the United States.
Last month the Danish company's nine-month report showed its equity capital had dwindled to only some 70 million crowns ($8.4 million), sufficient for financing another six months of research before injection of new capital, income from its smallpox vaccine or a merger would be necessary.
Bavarian Nordic was not among companies listed by the U.S. government to supply 155 million smallpox vaccine doses according to an announcement on Wednesday. ($ equals 8.3617 Danish crowns)
