Stadtlanders Pharmacy to Acquire Castro Village; Pharmacies Focus on Specialized HIV/AIDS Pharmacy Care

PR Newswire, 18 December 1996.

PITTSBURGH, Dec. 18 /PRNewswire/ -- Stadtlanders Pharmacy announced today the execution of a definitive agreement to purchase Castro Village Pharmacies, with locations in Los Angeles and San Francisco, from ValueRx. Stadtlanders is a provider of disease-specific pharmaceutical care to tens of thousands of individuals living with HIV, organ transplant recipients, and others with chronic health conditions nationwide. Stadtlanders is acquiring the Castro Village Pharmacies to meet the needs of customers in the Los Angeles and San Francisco markets who may prefer the option of face-to-face pharmacy services and counseling.

According to Stadtlanders Pharmacy President Tom Halstead, "We believe in taking a very client and community focused approach to patient care. Having a physical presence in key markets is an important way for Stadtlanders to become even more closely involved in the communities we serve." The acquisitions in Los Angeles and San Francisco follow the opening of the initial Stadtlanders retail location in New York City in 1994. With respect to future plans, Halstead stated, "We will continue to consider pharmacy locations in additional key markets to satisfy customer needs."

Castro Village Pharmacy offers a full service pharmacy; comprehensive patient education, counseling and advocacy programs; and assistance with billing and insurance reimbursement. This one-on-one personal approach, coupled with Castro Village's expertise in providing pharmaceutical care to people living with HIV and AIDS, fit well with Stadtlanders focus on disease specific pharmaceutical care. For each disease state which Stadtlanders services, their customized pharmacy services include clinical expertise, responsive customer service and counseling, and specialized wellness materials. Their goal is to help optimize patient medication adherence, and partner successfully with patients and their health care providers to achieve better overall medical outcomes for specific health conditions.

Kevin Roberg, President and CEO of ValueRx, stated, "The sale of Castro Village Pharmacy will allow ValueRx to focus on its strategic direction to become the country's leading medication management company. We are also excited about the possibility of partnering with Stadtlanders on future strategic opportunities in the area of medication management."

Stadtlanders Pharmacy is a national leader in disease specific pharmaceutical care for specialized patient populations including HIV, transplant, and oncology. Their expertise in specific disease states has led to specialty product distribution contracts with leading pharmaceutical manufacturers including Serono Laboratories, Inc., and Merck & Co., Inc. (NYSE: MRK)

Counsel Corporation, Inc., (Nasdaq: CXSNF; Toronto: CXS) acquired 65% interest in Stadtlanders Pharmacy in July 1996. Counsel Corporation has been active in the U.S. health care sector since 1983. It is engaged primarily in three health care segments: home health care, institutional pharmacy and specialty pharmacy services.

ValueRx, a subsidiary of Value Health, Inc. (NYSE: VH) is scheduled to become a separate public company in 1997 through a spin-off to Value Health shareholders. ValueRx is a leading provider of medication and pharmacy benefit management services, and the largest prescription benefit management (PBM) not affiliated with a pharmaceutical manufacturer or provider entity.
